1. Acceptance of Terms

By accessing or using NextProd ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and NextProd.

2. Description of Service

NextProd is a marketplace platform that connects strategy creators ("Portfolio Managers" or "PMs") with subscribers. PMs publish pre-registered trading signals for prediction markets, and subscribers may purchase access to view those signals. NextProd mechanically verifies signal track records using exchange data.

3. Not Financial Advice

NextProd is not a registered investment advisor, broker-dealer, or financial institution. Nothing on this Platform constitutes financial, investment, trading, or any other form of professional advice. All signals, track records, performance metrics, and other information provided through the Platform are for informational purposes only.

You should consult with a qualified financial advisor before making any investment decisions. NextProd does not recommend or endorse any specific trading strategy, market, or financial product.

4. No Guarantee of Performance

Past performance does not guarantee future results. Track records displayed on the Platform are verified mechanically using exchange data, but they represent historical performance only. Market conditions change, and strategies that performed well in the past may not continue to do so.

NextProd makes no representations or warranties regarding the accuracy, completeness, or reliability of any performance data, nor does it guarantee any specific outcomes from following any strategy.

5. User Accounts

To access certain features of the Platform, you must create an account. You agree to:

  • Be at least 18 years of age
  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Notify NextProd immediately of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

6. Strategy Creators (Portfolio Managers)

If you register as a PM on the Platform, you additionally agree to:

  • Provide accurate and truthful information about yourself and your strategies
  • Pre-register all signalsbefore market settlement — signals submitted after outcomes are known will not be verified
  • Not manipulate, falsify, or misrepresent your track record in any way
  • Comply with all applicable laws and regulations in your jurisdiction
  • Not provide personalized investment advice to subscribers through the Platform

7. Subscribers

By subscribing to a strategy, you acknowledge that you are purchasing access to informational signals only. You are solely responsible for your own trading decisions and any financial outcomes that result from actions you take based on information obtained through the Platform.

Subscription to a strategy does not create a fiduciary relationship, advisory relationship, or any other special relationship between you and the PM or NextProd.

8. Track Record Verification

NextProd verifies PM track records through mechanical matching of pre-registered signals against exchange fills obtained via read-only API connections. Tier designations (e.g., Verified, Audited) reflect the level of verification only and do not constitute an endorsement, recommendation, or guarantee of future performance.

9. Fees and Payments

All fees on the Platform are denominated in USD. Performance fees, where applicable, are calculated based on theoretical profit and loss (P&L) of signals, not actual execution or trading results. Subscribers understand that theoretical P&L may differ materially from actual trading outcomes.

10. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Manipulate or attempt to manipulate track records, signals, or performance data
  • Scrape, crawl, or use automated means to access the Platform without permission
  • Impersonate any person or entity
  • Interfere with or disrupt the Platform or its infrastructure
  • Share or redistribute subscription content without authorization

11. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, algorithms, verification systems, and software — are owned by NextProd and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without prior written consent.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXTPROD DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

To the maximum extent permitted by law, NextProd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your use of or inability to use the Platform.

NextProd's total aggregate liability shall not exceed the amount of fees you have paid to NextProd in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless NextProd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

NextProd reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

17. Changes to Terms

NextProd may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the revised Terms.
